Mr. Liu specializes in corporate law and focuses on corporate governance, mergers and acquisitions, commercial loans, joint ventures, hedge fund and private equity fund formations and commercial agreements.

Through private negotiations, mediations, arbitrations, litigations or interventions in litigations, Mr. Liu has also successfully represented hundreds of EB-5 investors to recover substantially all of their investment funds while receiving their permanent residences.  Such EB-5 projects are located in New Jersey, New York, Florida, Michigan and Colorado. His representative EB-5 matters include:

•  Through negotiation with a certain New Jersey based EB-5 fund amended the operating agreement of the fund, thereby enhanced the rights of the investors relative to redeployment; through subsequent threats of litigation secured the recovery of 80% of the redeployed capital from the redeployment investment for over 40 clients eligible for exits from EB-5 investments.
•   In a certain Colorado project, through 3 years of intervention in a multitude of lawsuits among the developer, the EB-5 fund and the two groups of plaintiffs of a consolidated EB-5 derivative lawsuit and by acting as the de facto mediator among all of the litigating parties, successfully secured a global settlement for all parties, enabling 30 or so clients and the rest 120 investors each to receive approximately $400,000 return of their capital;
•   In a certain Florida hotel project, through half of year of negotiation, secured for more than 10 clients close to 200% of the amount received by each investor involved in the lawsuit against the fund and the project;
•   Through 18 months of lawsuit and mediation, secured for each of more than 10 clients close to $390,000 return of capital from a Michigan vacation property project.

Prior to establishing Liu, Chen & Hoffman LLP, Mr. Liu practiced in prestigious Wall Street and Silicon Valley law firms for more than seven years, where he advised various clients in completing more than 100 corporate transactions totaling more than $7 billion in value. Since establishing Liu, Chen & Hoffman LLP, Mr. Liu has successfully represented many investors from Asia to seize the legal and actual control of the companies they invested in the United States.

EB-5 Matters:

Non-EB-5 Corporate Matters: 

• Represented 3 investors in purchasing over $25 million in preferred stocks in a clinical phase drug discovery company
• Represented an investor to finance the management buyout of a US subsidiary of Elephant Talk Communications
• Representing a hedge fund manager to set up a hedge fund with US and foreign investors
• Representing a biotech start-up in all of its corporate affairs, including company formation and issuance of of Series A and Series B preferred stock to its various accredited investors
• Acquisition of most of the assets of a healthcare service company in New Jersey on behalf of a Massachusetts-based health care company
• Represented a Massachusetts-based health care company to obtain secured loans from a local bank
• Sale of all shareholder interest of a Michigan-based fire alarm design and manufacturing company to strategic buyers in Europe
• Represented a Chinese wind turbine manufacturer in all transactions in the US, including the acquisition of wind farms and the resolution of commercial disputes
• Represented Chinese investors in the establishment of manufacturing plants in the US
• Represented a private company in acquiring approximately $70 million in assets from a public company
• Represented a national restaurant chain in the sale of its rights in number of franchise stores to a franchisor for approximately $30 million
• Representing a Chinese state-owned company in selling minority stakes to their US partners for about $200 million
• Represented a large Chinese Internet technology company in acquiring a 30% stake in a private Hong Kong company for approximately HK$50 million
• Established a joint venture in China on behalf of a US mining equipment company based in Virginia
