Many multinational corporations, particularly Chinese companies doing business in the United States, investment funds, start-up companies and high net-worth individuals rely on our corporate law expertise to resolve their regulatory compliance, corporate governance and business challenges in the United States, as well as negotiating, documenting and closing complex equity, debt and other business transactions.  We represent our clients in establishing their presence in the United States, making investments into or acquiring US businesses, and entering into long term technology licenses deals with US counterparties.  Our lawyers combine their legal skills and cultural sensitivities to develop innovative approaches to meet the business needs and legal challenges of our clients.

We carefully evaluate the business needs and resources of start-up companies in advising our clients to select the appropriate entity types for their start-up companies, allocate the rights and obligations among the founders, investors, management team and design the proper corporate governance structures to enable the clients to focus on the core business of the venture.

We have experience in representing clients ranging from pre-IPO start-up companies to multi-nationals, individual investors or sophisticated funds to negotiate, draft and consummate equity/debt financing transactions over 500 million dollars. We are intimately familiar with the expectations of clients from China, who are accustomed to some of the terms and conditions of similar investments that are the customary practices prevalent in Asia. We also have rich experiences advising banks and other lenders and borrowers in negotiating and documenting commercial loans, whether such loans are secured or unsecured.

M & A is the core and forte of the Firm’s corporate practice. Our attorneys have the experiences of conducting due diligence, negotiating, documenting and closing over 100 M & A transactions (equity or asset transactions) totaling over $7 billion in transaction value. We are experienced in handling the legal and business issues unique to clients from China, such as the need to work with the foreign currency authorities in China and the CFIUS in the United States, and guiding our clients to navigate the complex legal and compliance environments in the United States.

We work together with several prominent compliance firms to provide one-stop shop services for fund clients in establishing their private equity (including venture capital) funds, hedge funds and real estate funds and operating such funds in compliance with the rules and regulations applicable to them. We also work with experienced practitioners in optimizing the tax obligations of the general partners and investors of the funds.

We provide outside in-house or general counsel services to some publicly traded or privately-held companies. Under some arrangements, we advise clients on legal and compliance issues that arise during the regular course of their business, assist them in settling disputes, help with day-to-day legal tasks, and assist with management of the work of large law firms they may have engaged.
